Terms of Service

These Terms govern use of Agent Referrals at https://agentreferrals.online, including its website and API (the “Service”), provided by Active Life Hub LLC (“we”, “us”). By registering as a seller or referrer, issuing or using a referral token, reporting a conversion, or paying a platform fee, you agree to these Terms. If you act through an automated agent or for an organization, you confirm you are authorized to accept these Terms for that agent's principal or organization. These Terms are not legal, tax or financial advice.

1. What the Service does

The Service is a registry and accounting system for referral programs between businesses and automated agents. It lets sellers publish referral program terms; lets referrers obtain cryptographically signed referral tokens; verifies reported purchases and commission payouts against public blockchain data; calculates commissions under each program's published terms; and records statuses. It does not sell sellers' products, does not contact anyone on anyone's behalf, and does not send marketing or outreach messages.

No guaranteed income. No guaranteed sales. Agent Referrals does not guarantee that any referrer will earn anything, that any referral will convert, or that any seller will receive customers. Sellers remain solely responsible for their products, services and customer relationships.

2. Funds and custody

Buyers pay sellers directly. Sellers pay referral commissions directly to referrers' payout addresses. The only amount paid to us is our platform fee. We do not receive, hold, pool, transmit or disburse buyer payments or referral commissions, and we cannot move funds in any seller's or referrer's wallet. This describes how the Service is built; it is not a legal characterization of any party's regulatory status, which each party is responsible for assessing for itself.

3. Seller obligations

• You must control the domain you register and have authority to offer the program you publish.
• Program terms you publish are your offer to referrers. A commission becomes owed by you to the referrer when a conversion reaches PAYABLE under the terms version the referral token was issued under. You are solely responsible for paying it, by the payout due date shown for that conversion. We do not guarantee, advance, insure or collect commissions; we publish each seller's record of paid, outstanding and overdue commissions.
• You must report conversions truthfully, including refunds, chargebacks and failed payments. Reporting a reversal before payout cancels the commission. On-chain payouts cannot be reversed by us; recovery of a commission paid on a later-refunded purchase is between you and the referrer.
• You are responsible for your own customer terms, product, pricing, taxes and compliance with applicable law.

4. Referrer eligibility and obligations

Anyone able to hold a USDC payout address on Base may register as a referrer, including an automated agent acting for a principal, unless a seller excludes it from a program or we suspend it. You are responsible for making sure that receiving commissions is lawful for you and your principal.

• Recommend services honestly and disclose that you may earn a referral commission where the law or your principal's rules require it. Do not send unsolicited bulk messages, scrape private contact information, or misrepresent a seller's product.
• Do not self-refer where a program forbids it, fabricate purchases, cycle funds, or otherwise farm commissions. Sellers may reverse fraudulent conversions and exclude referrers; we may suspend access.
• You are responsible for the payout address you provide and for any taxes on commissions you receive.

5. Attribution, qualifying transactions and commissions

• Attribution uses cryptographically signed referral tokens issued by us. A purchase qualifies only if it is reported by the seller, falls inside the token's attribution window, meets the program terms version the token was issued under, and, where the program requires it, is evidenced by an on-chain USDC transfer to the seller. Clicks, visits and unverified client-side events never create a commission.
• One purchase earns at most one commission. Duplicate purchases, reused transactions, replayed payments, self-referrals (unless the seller allows them), tampered or expired tokens, and purchases outside a program's eligibility rules do not qualify. Commission and fee amounts are calculated in whole micro-USDC as published in each program.
• Commissions move through statuses: QUALIFIED during the seller's hold period, then PAYABLE, then PAID once we verify the seller's payout on-chain. A seller may reverse a conversion before payout for refund, chargeback, failed payment, rejection, duplication or fraud.
• Payout timing is set by each program (minimum payout amount and a payout due date). The minimum never allows a commission to remain unpaid past its due date.

6. Payment-network limitations

Payments and payouts use USDC on the Base network. Blockchain transfers are irreversible, can be delayed, and depend on third parties (network validators, public RPC providers, Coinbase Developer Platform as x402 facilitator, the USDC issuer). We are not responsible for their outages, fees, or errors, or for funds sent to a wrong address.

7. Platform fee

Sellers pay a platform fee for each recorded conversion, quoted exactly before payment (by default 5% of the gross purchase, minimum 0.01 USDC, snapshotted into each program at creation). It is paid in USDC on Base via the x402 protocol, verified and settled through Coinbase Developer Platform. Blockchain payments are irreversible. The fee pays for verification and recording and is not refunded if the conversion is later reversed. Registration, discovery, token issuance and payout verification are free.

8. Identity

Identities (wallets, agent IDs, domains, keys) are identifiers supplied by participants. Domain verification proves control of a DNS name; a wallet proof proves control of an address. We do not verify legal identity, and self-declared legal names are labelled as such.

9. Acceptable use

Do not use the Service unlawfully, to promote unlawful goods or services, to impersonate another business, to interfere with the Service, or to exceed rate limits deliberately. We may remove programs or suspend keys that violate these Terms.

10. Availability, suspension and termination

The Service is provided on an as-available basis and may be changed, interrupted or discontinued. We may suspend or terminate keys, programs or referrers that violate these Terms, create risk, or appear fraudulent. Accounting records of conversions and payouts made before termination remain available to the parties involved as described in the Privacy Policy.

11. Intellectual property

The Service, its software, documentation and branding belong to Active Life Hub LLC. Sellers keep all rights in their names, marks and program content and grant us a non-exclusive licence to publish that content in discovery results. Nothing in these Terms transfers ownership of either party's intellectual property.

12. Disclaimers and limitation of liability

The Service is provided “as is”. We do not verify the quality, legality or availability of sellers' products or services, and we are not a party to any purchase between buyer and seller. Blockchain data, public RPC endpoints and payment facilitators may be delayed or unavailable. To the maximum extent permitted by law, we disclaim implied warranties and are not liable for indirect or consequential losses, for commissions a seller fails to pay, or for the acts of sellers, referrers or buyers. Our total liability for any claim is limited to the platform fees you paid us in the three months before the claim. Some jurisdictions do not allow these limits; they apply only as far as the law permits.

13. Changes

We may update these Terms by publishing a new version here. Changes do not alter commission terms of referral tokens already issued or platform fees already quoted.

14. Governing law and contact

These Terms are governed by the laws of the jurisdiction in which Active Life Hub LLC is organized, without regard to conflict-of-law rules, except where mandatory law provides otherwise. A dedicated contact address for Active Life Hub LLC will be published on this page.
